CONSTITUTION

OF THE

Southern New Hampshire Radio Control Club, Inc.

Article 1 - Name

SECTION 1

The name of this organization shall be: 

SOUTHERN NEW HAMPSHIRE RADIO CONTROL CLUB, INC. (S.N.H.R.C.C.)

Article 2 - Purpose

SECTION 1

The purpose of this organization is to promote all phases of radio control aeromodeling.

Article 3 - Powers Granted

SECTION 1

All actions taken by the organization shall be binding upon all members who wish to maintain active membership.

Article 4 - Membership

SECTION 1

Membership in the club is open to anyone interested in flying radio controlled model aircraft.

SECTION 2

Changes in membership dues may be proposed at any regular meeting. Changes in membership dues shall be voted upon at the following regular meeting and shall be determined by the majority vote of the membership in attendance. Renewal membership dues shall be paid by the February meeting.

SECTION 3

To retain member status each member is required to maintain a current Academy of Model Aeronautics (AMA) license and be current in S.N.H.R.C.C. dues.

SECTION 4

Each member is required to follow all current FCC regulations and club rules.

Article 5 - Officers

SECTION 1

Positions

The officers of the club shall be: President, Vice-President, Secretary and Treasurer.

SECTION 2

Terms

The term of office shall be for one (1) year.

Article 6 - Duties & Powers of Officers and Members

SECTION 1 - The President

1. Shall preside at all club meetings. 

2. Shall, with the consent of other officers, call extra meetings whenever necessary.

3. Shall appoint committees.

4. Shall assume and/or delegate extra responsibilities as necessary during his tenure.

SECTION II - The Vice-President

1. Shall, at the discretion of or the absence of the president, preside at the club meetings.

2. Shall assist the Secretary with club correspondence.

SECTION III - The Secretary

1. Shall keep minutes of the meetings.

2. Shall present minutes of previous meeting when called upon to do so.

3. Shall conduct club correspondence at the direction of the President.

SECTION IV - The Treasurer

1. Shall collect all club dues.

2. Shall keep an accurate record of all expenditures and income.

3. Shall keep all but two hundred (200) dollars of the club funds in a bank account which requires the signatures of two officers for withdrawals.

SECTION V - General Membership

1. Shall have the opportunity of presenting to the club any ideas or suggestions.

2. Shall act on all matters of general policy of the club.

3. Shall vote approval of all moneys to be spent by the club. Such approval shall include establishment of discretionary budgets as necessary.

Article 7 - Nomination, Election, Resignation, Removal and Replacement of Officers

SECTION 1 - Nomination of Officers

Nominations, at least one for each office, will be made at the October meeting. Additional nominations may be offered and elections shall be held at the next regular meeting.

SECTION 2 - Election of Officers

1. At the November, or the first regular meeting following the October meeting, nominations will be closed by the vote of the members present. Elections will be held if the club officers determine there is sufficient membership representation, otherwise the officers may postpone the elections and reopen the nominations at the next regular meeting.

2. A candidate must gain a majority of the votes cast to be elected.

3. The new officers will assume their duties at the first regular meeting following the elections.

SECTION 3 - Resignation of Officers

1. The resignation of any club officer shall be submitted in writing to one of the other officers.

2. The resignation of any club officer will become effective upon notification of the members present at the next regular meeting.

SECTION 4 - Removal of Officers

1. An officer who misses a regular meeting without communication with another officer shall be notified by letter that attendance at the next regular meeting is required. Absence from two (2) consecutive regular meetings without communication shall constitute resignation from office. An officer's absence from three (3) consecutive regular meetings with communications shall constitute resignation from office. However, in extenuating circumstances, the membership may vote to override the automatic resignation.

2. In the best interest of the club, an officer may be removed from office for good and sufficient reasons as shall be determined by a majority vote of a quorum of the membership.

SECTION 5 - Replacement of Officers

1. Vacancy in any office shall be filled by appointment by the remaining officers. Such appointee to serve until the end of the term for which his predecessor was elected.

Article 8 - Ratification

SECTION I

This constitution shall be ratified on the basis of representative votes of the club members present for ratification.

Article 9 - Amendments

SECTION 1

Changes to the constitution of the S.N.H.R.C.C. can be made at any regular meeting by a 2/3rds majority vote in favor of the changes by the attending membership. Any proxy votes received prior to the meeting will be considered representation at the meeting by a member as a vote as designated on the proxy for the respective constitutional issue. Changes to the constitution in this manner will be permitted providing that the proposed changes are published and distributed to all members prior to the meeting upon which the changes are to be voted upon. All members not in attendance or submitting a proxy vote will be assumed to vote with the position of the club officers. [Amended:DEC 1988] 

SECTION 2

Proposed amendments to this Constitution may be presented to the club by any member.

SECTION 3

All proposed amendments must be in written form and presented to the club at least one meeting before a final vote is taken. 

Article 10 - Quorum

SECTION I

A quorum shall consist of the members present at the next regular meeting.

Article 11 - Date and Location of Meetings

SECTION I

If the meeting falls on a holiday, or inclement weather should occur, the meeting shall be postponed for one week.

Article 12 - Date Effective

SECTION I - Effectively

The Constitution shall be effective immediately upon ratification.

Article 13 - Admission, Renewal, Expulsion and Reinstatement of Membership

SECTION I - Admissions and Renewals 

1. A person applying for membership must possess a current AMA membership. All applicants must be sponsored by a current club member. Should the applicant not be a friend or aquaintance of a member, a member may volunteer to fullfill the responsibilities of sponsor. The sponsor's responsibilities are to familiarize the applicant with the flying field rules, general club practices, etc.

2. Individuals seeking membership will have their names published in the Bullsheet prior to the meeting where, by a secret ballot, a membership vote on the potential new member will be taken.

3. A NO vote on the applicant by any three members will reject the application.

SECTION II - Expulsions

1. Any member may be expelled from the S.N.H.R.C.C. for good and sufficient reasons as determined by a 2/3rds vote of the membership present at the next business meeting. The reason for expulsion shall be recorded by the Secretary for future reference.

2. A written statement outlining the reasons for expulsion will be drafted under the supervision of the club officers and agreed to by a 2/3rds vote of the membership present at the next business meeting. A copy of the statement will be mailed to the respective member. The member's association with the S.N.H.R.C.C. will be terminated effective at the time of the membership vote.

SECTION III - Reinstatement

1. Any member that has been expelled may be reinstated or re-admitted only by a 2/3rds majority vote of the membership present at the next business meeting. A reinstatement must be initiated by the expelled individual by submitting a written petition to the club officers to initiate a membership reconsideration vote.
